Terms of Service

1. Agreement to Terms

By accessing or using StaffWise (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Viatec Limited (“we”, “us”, “our”), a company registered in Ireland.

2. Description of Service

StaffWise is a cloud-based HR management platform providing leave management, expense tracking, mileage calculation, and Revenue ERR compliance tools for Irish businesses.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised use of your account
• You must be at least 18 years old to create an account
• One person or legal entity per account

4. Free Trial

• New accounts receive a 14-day free trial with full access to all features
• No credit card is required to start a trial
• At the end of the trial, you will be prompted to select a plan and add payment details
• A 3-day grace period is provided after the trial ends before access is suspended
• Your data is retained during the grace period

5. Payment and Billing

• Plans are billed monthly on a per-employee basis
• Payment is processed securely via Stripe
• Invoices are issued at the start of each billing cycle
• You may cancel your subscription at any time with 30 days notice
• Refunds are not provided for partial months
• We reserve the right to change pricing with 30 days notice

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to the Service or its systems
• Interfere with or disrupt the Service
• Upload malicious code or content
• Resell or redistribute the Service without permission
• Use the Service to store data unrelated to HR management

7. Data Ownership

• You retain full ownership of all data you upload to or create within the Service
• We process your data solely on your behalf as a data processor
• Upon cancellation, you may export your data within the 30-day notice period
• We will delete your data within 30 days of account closure, except where retention is required by law (e.g., Revenue ERR records for 6 years)

8. Service Availability

• We aim to maintain 99.9% uptime but do not guarantee uninterrupted access
• Scheduled maintenance will be communicated in advance where possible
• We are not liable for downtime caused by factors outside our control

9. Intellectual Property

• The Service, including its design, code, and branding, is owned by Viatec Limited
• You are granted a limited, non-exclusive licence to use the Service for its intended purpose
• You may not copy, modify, or reverse-engineer any part of the Service

10. Limitation of Liability

• To the maximum extent permitted by Irish law, our liability is limited to the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for any loss arising from your failure to maintain accurate data

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service or violation of these Terms.

12. Termination

• Either party may terminate the agreement with 30 days written notice
• We may suspend or terminate your account immediately for breach of these Terms
• Upon termination, your right to use the Service ceases immediately

13. Governing Law

These Terms are governed by the laws of the Republic of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect.
